The Agreement
NON-DISCLOSURE AGREEMENT (NDA) This Non-Disclosure Agreement ("Agreement") is made and entered into on this day you agree by clicking this link, ("Effective Date") by and between:
Party Disclosing Information:

("Disclosing Party")
Party Receiving Information:
Your name and address as registered by your interest via this website.
("Receiving Party")
Collectively referred to as the "Parties."

WHEREAS, Disclosing Party is the author of a television script with the working title "THAIGER" (the "Work").
WHEREAS, Disclosing Party desires to disclose certain confidential and proprietary information related to the Work to Receiving Party.

WHEREAS, Receiving Party desires to receive and review the confidential and proprietary information related to the Work.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the Parties agree as follows:
1. Definition of Confidential Information
(a) For the purposes of this Agreement, "Confidential Information" means any and all information, whether in oral, written, electronic, or any other form, that is disclosed by the Disclosing Party to the Receiving Party, and that relates to the Work. This includes, but is not limited to, the storyline, characters, plots, themes, and any other creative and business-related information concerning the Work.
(b) Confidential Information does not include information that:
(i) Is or becomes publicly available without any breach of this Agreement by Receiving Party.
(ii) Is independently developed by Receiving Party without the use of or reference to the Confidential Information.
(iii) Is rightfully obtained by Receiving Party from a third party without any restriction on disclosure.
2. Non-Disclosure Obligation
(a) Receiving Party shall keep all Confidential Information strictly confidential. Receiving Party shall not, without the prior written consent of Disclosing Party, use, disclose, or in any way allow any third party to access or use the Confidential Information for any purpose other than evaluating the Work for potential collaboration.
(b) Receiving Party shall use at least the same degree of care it uses to protect its own confidential and proprietary information, but in no event less than a reasonable standard of care, to prevent the unauthorized disclosure or use of the Confidential Information.
3. Purpose of Disclosure
The Confidential Information is being disclosed by the Disclosing Party to the Receiving Party for the sole purpose of evaluating potential collaboration or engagement regarding the Work.
4. Term
This Agreement will commence on the Effective Date and continue in effect for a period of three (3) years from the Effective Date unless terminated earlier by written agreement of the Parties.
5. Return of Information
Upon written request from Disclosing Party or upon termination of this Agreement, Receiving Party shall promptly return all documents, materials, and other tangible manifestations of the Confidential Information, or certify in writing that such materials have been destroyed.
6. No License
Nothing in this Agreement grants Receiving Party any rights or licenses to the Confidential Information or any rights related to the Work, except for the limited purpose of evaluating potential collaboration or engagement.
7. Remedies
The Parties acknowledge that any breach of this Agreement may cause irreparable harm for which monetary damages would not be an adequate remedy. Therefore, Disclosing Party shall be entitled to seek injunctive relief to enforce the provisions of this Agreement in addition to any other remedies available at law or in equity.
8. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Australia, and any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state or federal courts located within Victoria, Australia.
9. Entire Agreement
This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
IN WITNESS WHEREOF, the Parties have executed this Non-Disclosure Agreement as of the Effective Date.
